These Website Terms of Use (the "Terms") set forth the conditions for using the UtaRank website (https://utarank.ponmedia.com, the "Site") operated by PONMEDIA (the "Developer" or "we"). Use of the UtaRank app itself is governed separately by the "App License Agreement (EULA)."

1. Scope
These Terms apply to all relationships concerning the browsing and use of the Site. By using the Site, you are deemed to have agreed to these Terms. If you do not agree to these Terms, please discontinue use of the Site. The download and use of the UtaRank app are governed by the "App License Agreement (EULA)," not by these Terms.

All copyrights, trademark rights, and other intellectual property rights in the text, images, logos, designs, and all other content published on the Site belong to the Developer or other rightful owners. You may not copy, reproduce, modify, redistribute, or otherwise use such content without the Developer's prior consent.

When using the Site, you shall not engage in any of the following acts: • Acts that violate laws, regulations, or public order and morals • Acts that infringe the intellectual property rights, privacy, reputation, or other rights or interests of the Developer or any third party • Acts that interfere with the operation of the Site or impose an excessive load on its servers or network • Attempts at unauthorized access, or exploitation of vulnerabilities in the Site • Any other acts that we deem inappropriate
4. External Links and Third-Party Services
The Site may contain links to the App Store and other external websites. These linked sites are not under the Developer's control, and the Developer assumes no responsibility for their content, accuracy, safety, or anything else. Use of linked sites is subject to the terms of use and privacy policies of those respective sites.
5. Disclaimer
The Developer makes no warranties as to the accuracy, completeness, usefulness, or timeliness of the information published on the Site, and such information is provided on an "as is" basis. The Developer shall not be liable for any damages incurred by users arising from the use of, or inability to use, the Site, except in cases of the Developer's willful misconduct or gross negligence.

The Developer may change the content of the Site, or suspend or terminate the provision of the Site, without prior notice to users. The Developer shall not be liable for any damages incurred by users as a result, except in cases of the Developer's willful misconduct or gross negligence.

The Developer may change these Terms without prior notice to users when it deems necessary. The revised Terms shall take effect when posted on the Site, and if a user uses the Site after the revision, the user is deemed to have agreed to the revised Terms.
8. Governing Law and Jurisdiction
These Terms shall be construed and applied in accordance with the laws of Japan. Any dispute arising between the user and the Developer in connection with the Site or these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
